- Acceptance of Terms. The Sites and Services made available to you by the Foundation are subject to these Terms of Use. The Foundation retains the right to update or make changes to these Terms of Use from time to time. The Foundation may provide you with notice of such changes by any reasonable means, including without limitation, by posting the revised version of these Terms of Use on the Sites or via a highlight of recent material changes in the Terms of Use itself. You can determine when these Terms of Use were last revised by referring to the “LAST UPDATED” date at the bottom of this page. Any changes to these Terms of Use will be effective immediately upon posting on the Sites and you agree to Terms of Use by continuing the use of the Sites. Your access to or use of the Sites or Services following changes to Terms of Use will constitute your acceptance of those changes. Any changes to these Terms of Use shall not apply to any dispute between you and the Foundation arising prior to the date on which the Foundation posted the revised version of Terms of Use incorporating such changes or otherwise notified you of such changes. The Foundation reserves the right, at any time and from time to time, temporarily or permanently, in whole or in part, to: modify or discontinue the Sites or Services, with or without notice; charge fees in connection with the use of the Sites or Services,; or modify or waive any fees charged in connection with the Sites or Services. You agree that the Foundation shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Sites or of any Service, content, feature or product, in whole or in part. Your continued access to or use of the Sites or Services after such changes will indicate your acceptance of such changes.
- Information Submitted Through the Sites and/or Services. Your submission of your personal information through the Sites or in connection with the Services is governed by the Privacy Statement, which is located at Privacy Statement (the “Privacy Statement”). You agree that all information that you provide to us is true, accurate and complete, and that you will maintain and update such information regularly.
If you provide Content (as defined below), you represent and warrant that the Content is (a) wholly your original work, or (b) that you have all necessary right, title, interest and licenses to upload it and make it available to the Foundation and other users for download, distribution and use under these Terms of Use without (i) violation (by you, us, third parties, users or anyone else) of any applicable license, restriction or law, or (ii) a potentially adverse consequence to us, third parties, users or anyone else that you have not conspicuously disclosed in the Content. As used here, “adverse consequence,” means a restriction governing the Content which could be triggered if we or others exercise a right under the license you grant below and which imposes an obligation, liability or impairment of rights on us or others that was not conspicuously disclosed by you before exercise of a right. The Foundation anticipates that substantial Content or even assistance will be made available to you and others through the Site or otherwise. Content may be outdated or contain typographical errors, inaccuracies, omissions, or problematic or defective functionality, and assistance will need your review. YOU AGREE NOT TO RELY ON CONTENT OR ASSISTANCE AND TO DETERMINE ALL RELEVANT FACTORS ON YOUR OWN, INCLUDING (WITHOUT LIMITATION) ACCURACY, FUNCTIONALITY, QUALITY, RELIABILITY AND OTHER RELEVANT FACTORS. - No unlawful or prohibited use. As a condition of using any Services, you shall not use the Services for any purpose that is unlawful, unethical, or prohibited by these Terms of Use that could create liability for the Foundation. You must not use the Services in any manner that could damage, disable, overburden, or impair any Foundation server, or the network(s) connected to any Foundation server, or interfere with any other party’s use and enjoyment of any Services. You shall not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any Foundation server or to any of the Services, through hacking, password mining or any other means. You shall not operate robots or spiders to scan the Foundation databases or Sites. You shall not use “deep linking” to Sites.
- Usage by children under 13. These Sites and Services are directed to adults and not directed to children under the age of 13. We cannot prohibit minors from visiting the Sites or Services so rely on parents, guardians and those responsible for supervising children under 13 to decide which materials are appropriate for such children to view and/or purchase. We strive to comply with the Children’s Online Privacy Protection Act and do not permit registration by children under the age of 13 and will not knowingly collect personally identifiable information from anyone under 13. This requirement will be posted wherever we collect data within the Sites, such as during any registration process.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITES OR SERVICES IS TO STOP USING THE SITES OR SERVICES. THE MAXIMUM LIABILITY OF THE FOUNDATION FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE) OR OTHERWISE, SHALL BE THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO the Foundation TO ACCESS AND USE THE SITE OR SERVICES.
While we try to maintain the integrity and security of the Sites and Services and the servers from which the Sites and Services are operated, we do not guarantee that the Sites and Services will be or remain secure, complete or correct, or that access to the Sites and Services will be uninterrupted. - Indemnity and Release. - Termination. This Agreement is effective until terminated. The Foundation may terminate your access to or use of the Sites or Services, at any time and for any reason, including if the Foundation believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. Upon any such termination, your right to access or use the Sites or Services will immediately cease. You agree that any termination of your access to or use of the Sites or Services may be impacted without prior notice, and that the Foundation may immediately deactivate or delete your password and username, and all related information and files associated with it, and/or bar any further access to such information or files. You agree that the Foundation shall not be liable to you or any third party for any termination of your access to the Sites or Services or to any such information or files and shall not be required to make such information or files available to you after any such termination. Sections 5and 6 and 10-13 shall survive any expiration or termination of this Agreement.
- Notice for California Residents. - Jurisdictional Issues. The Sites and the Services are controlled and operated by the Foundation from the United States and are not intended to be subject to the laws or jurisdictions of any state, country or territory other than that of the United States. The Foundation neither represents nor warrants that the Sites or the Services or any part thereof is appropriate or available for use in any particular jurisdiction other than the United States. In choosing to access the Sites or Services, you do so on your own initiative and at your own risk, and you are responsible for complying with all local laws, rules and regulations. You are also subject to United States export controls and are responsible for any violations of such controls, including any United States embargoes or other federal rules and regulations restricting exports. We may limit the availability of the Sites or the Services, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time. - Website Dispute Resolution: Arbitration, Jury Trial Waiver, and Class Action Waiver. Neither you nor the Foundation will be able to sue in court in connection with disputes related to the use of the Sites (“Disputes”). All Disputes must be resolved through individual (non-class) arbitration. You indicate your acceptance to these Terms of Use, including this agreement to arbitrate, by continuing to use the Site after having the opportunity to review these Terms of Use. You and the Foundation intend for this to be an agreement for arbitration that can be enforced under the Federal Arbitration Act (FAA), 9 U.S.C.A. §§ 1–16. You and the Foundation waive any rights to maintain other available resolution processes for Disputes, such as a court action or administrative proceeding, to settle disputes. You and the Foundation waive any right to a jury trial for Disputes.
Both you and the Foundation agree to settle Disputes only by arbitration and not in court. Any Dispute shall be determined by arbitration in New York, New York before one arbitrator(s). The arbitration shall be administered by JAMS pursuant to JAMS’ Streamlined Arbitration Rules and Procedures, available at http://www.jamsadr.com/rules-streamlined-arbitration/. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. If for any reason, JAMS cannot or will not provide this arbitration, the parties may ask any court of competent jurisdiction to select an arbitrator from a list provided by the parties.
You agree that you will not file a class action against the Foundation or participate in a class action against the Foundation in any Dispute. You agree that you will not file or seek a class arbitration, or participate in a class arbitration against the Foundation and its affiliated companies, in any Dispute.
- Governing Law. These Terms of Use and your use of our Sites shall be construed, governed by and enforced under the substantive laws of the State of New York, without regard to its conflict of law provisions.
- Miscellaneous. These Terms of Use constitute the entire agreement between the parties with respect to the use of the Sites and Services and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral between the Foundation and you. Any waiver by the Foundation of any violation of any provision of these Terms of Use will not be deemed to waive any further or future violation of the same or any other provision. If any part or provision of these Terms of Use are held to be unenforceable for any purpose, including but not limited to public policy grounds, then you and the Foundation agree that the remainder of the Agreement will be fully enforceable as if the unenforceable part or provision never existed. You and the Foundation agree that there are no third-party beneficiaries of any promises, obligations or representations made by the Foundation. You may not assign any rights granted to you or delegate any of your duties hereunder and any attempt to do so is void and of no effect. The Foundation may assign its rights and delegate its duties under this Agreement in their entirety in connection with a merger, reorganization, or sale of all, or substantially all, of its assets relating to this Agreement. Nothing in this Agreement will constitute a partnership or joint venture between you and the Foundation.
